1. Acceptance of these terms
These terms of use ("Terms of Use") govern access to and use of the Flip The Review website and Member Portal (together, "the Site"), operated by Flip The Review Ltd, company number 16755813, registered office 4 Washbrook Road, Portsmouth, England, PO6 3SA ("we", "us", "our"). By accessing or using the Site, you agree to these Terms of Use. If you do not agree, you must not use the Site.
If you become a member, your use of the Member Portal is also governed by our Membership Terms & Conditions, which take precedence over these Terms of Use in the event of any conflict specifically relating to membership.
2. Who these terms apply to
These Terms of Use apply to anyone who accesses the public-facing areas of the Site, and to members who access the password-protected Member Portal. Some areas of the Site are only accessible to members following identity verification and successful payment of the membership fee described in our Membership Terms.
3. Changes to the Site
We may update, add to, remove, or discontinue any part of the Site, or its features, from time to time, and may do so without notice where reasonably necessary (for example, for security or maintenance reasons), or with reasonable notice where the change is material and affects members' access to Content.
4. Acceptable use of the Site
When using the Site, you must not:
- attempt to gain unauthorised access to any part of the Site, other users' or members' accounts, or our underlying systems and networks;
- upload, submit, or transmit any content that is unlawful, defamatory, obscene, threatening, or that infringes another person's intellectual property or other rights;
- introduce any virus, malware, or other harmful code to the Site;
- use automated means, such as scraping tools or bots, to extract data, Content, or Reviews from the Site without our prior written permission;
- interfere with, disrupt, or place an unreasonable load on the Site's infrastructure;
- use the Site in any way that breaches our Membership Terms, this policy, or applicable law.
We may suspend or terminate your access to the Site, in whole or in part, if we reasonably believe you have breached this clause, in addition to any rights we have under our Membership Terms.
5. Intellectual property
All content on the Site, including text, graphics, logos, the Flip The Review name and branding, the Trade Protection Library, templates, guides, and webinar materials, is owned by us or our licensors and is protected by copyright, trade mark, and other intellectual property laws in the United Kingdom and elsewhere.
Members may access and use Content for their own personal or business purposes in connection with their membership, in accordance with our Membership Terms. Save as expressly permitted, no part of the Site or its Content may be reproduced, copied, redistributed, republished, downloaded (save where a download function is expressly provided), or sold without our prior written consent.
6. Reviews about Clients
The Site does not publish Reviews publicly. Reviews about Clients submitted by members are held on record and disclosed privately to another member only where that member makes a specific request about a specific, named Client, in accordance with our Membership Terms and Privacy Policy. Disclosure consists only of the text of the Review itself, without the Client's name, address, or other personal identifying details held on our systems. Reviews are not searchable or visible to members generally, and are not indexed or made available to the public or to search engines.
Reviews reflect the individual member's own experience of working for the Client concerned. They do not represent statements of fact endorsed by us, and we do not independently verify every factual statement contained within a Review before or after it is recorded or disclosed.
7. Third-party links and the Trusted Partner Network
The Site may contain links to third-party websites, including members of our Trusted Partner Network, and may facilitate introductions between members and Trusted Partners. We do not control, and are not responsible for, the content, accuracy, availability, or practices of any third-party website or Trusted Partner, and the inclusion of a link or introduction does not imply our endorsement of that third party's services.
8. Availability of the Site
We aim to keep the Site available at all times, but we do not guarantee that it will be uninterrupted, secure, or error-free. We may suspend, withdraw, or restrict access to the Site, or any part of it, for business or operational reasons, including maintenance, updates, or circumstances beyond our reasonable control, and we will not be liable to you for any unavailability of the Site, save where required by law.
9. Liability
Nothing in these Terms of Use excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
Subject to the above, to the fullest extent permitted by law: the Site and its Content are provided "as is" and "as available", without warranties of any kind, whether express or implied; we exclude all liability for loss or damage arising from your use of, or inability to use, the Site, including reliance on any Content, Review, or resource disclosed to you through it; and we exclude all liability for any indirect or consequential loss, including loss of profit, revenue, business, contracts, anticipated savings, or goodwill, arising out of or in connection with your use of the Site.
10. Indemnity
You agree to indemnify us against any claims, losses, damages, or expenses (including reasonable legal costs) arising from your breach of these Terms of Use, or from any content you submit to the Site, including any Review that is found to be defamatory, untruthful, excessive, or otherwise unlawful.
11. Governing law and jurisdiction
These Terms of Use, and any dispute or claim arising out of or in connection with them, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, save that if you are a consumer resident elsewhere in the United Kingdom, you may also bring proceedings in the courts of your home jurisdiction.
12. Changes to these terms
We may update these Terms of Use from time to time. The "last updated" date at the top of this page shows when they were last revised, and your continued use of the Site after any changes take effect constitutes your acceptance of the updated Terms of Use.
