1. Introduction and acceptance
These terms and conditions ("Terms") govern membership of the Trade Protection Network operated by Flip The Review Ltd, company number 16755813, registered office 4 Washbrook Road, Portsmouth, England, PO6 3SA ("Flip The Review", "we", "us", "our"). They apply to every individual or business that applies for, holds, renews, or uses a Flip The Review membership ("member", "you", "your").
By submitting a membership application, providing payment details, or otherwise using the member portal, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Website Terms of Use, which are incorporated into these Terms by reference. If you do not agree to any of these documents, you must not apply for or continue to use your membership.
These Terms apply to consumers and to businesses. Where you are contracting as a business, certain statutory consumer protections referred to in these Terms (such as the Consumer Contracts Regulations) will not apply to you, but we will still generally seek to honour the cancellation and billing approach described below unless we tell you otherwise in writing.
2. Definitions
In these Terms: "Membership" means the paid subscription package described in clause 4; "Member Portal" means the password-protected area of our website accessible to members; "Trusted Partner" means a third-party business or individual we introduce members to, as described in clause 6; "Content" means any material available through the Member Portal, including the Trade Protection Library, templates, guides, webinars, and other resources; "Review" means a record submitted by a member about a client the member has worked for, describing that member's experience of that client, disclosed to other members only in accordance with clause 9; "Client" means the individual or business who is the subject of a Review; and "Billing Period" means each recurring monthly period for which membership fees are charged.
3. Eligibility and application
To become a member, you must be at least 18 years old and provide accurate, current, and complete information as part of the application and verification process, including your name, business name, trade or business type, contact details, and business address where applicable. You must keep this information up to date and notify us promptly of any changes, particularly changes to your contact details or payment information.
We reserve the right to decline any membership application, or to decline to renew or continue any existing membership, at our reasonable discretion, for example, where we are unable to verify your identity, where you have previously breached these Terms, or where we reasonably believe your membership would present a risk to us, other members, or the reputation of the platform.
4. Membership fees and billing
Membership costs £15 per month, inclusive of VAT, and is billed on a rolling monthly basis from the date your membership begins. There is no minimum term and no long-term commitment.
Payment is collected automatically at the start of each Billing Period via our payment provider, Stripe. By providing your payment details, you authorise us (through our payment provider) to take recurring payments from the payment method you provide until your membership ends in accordance with these Terms.
We do not store your full payment card details ourselves. Card and payment details are collected, processed, and stored by Stripe in accordance with its own security standards and terms, which you should also review.
If a payment fails, we will notify you and may attempt to take payment again, or may suspend your access to the Member Portal until payment is successfully collected. We are not responsible for any bank charges or fees your card provider may apply as a result of a failed or repeated payment attempt.
We may change the membership fee from time to time, for example to reflect increased costs of operating the platform. If we do, we will give you at least 30 days' written notice by email before the change takes effect. If you do not agree to the new fee, you may cancel your membership at any time before the change takes effect in accordance with clause 5, and no new fee will be charged to you.
5. Your right to cancel
You may cancel your membership at any time, without needing to give a reason, by using the cancellation function in the Member Portal or by emailing us at customerservice@flipthereview.com.
If you are a consumer, you also have a statutory right to cancel within 14 days of first subscribing under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Because membership gives you immediate access to digital content and services, if you access the Member Portal or download any Content during this 14-day period, you acknowledge that you are consenting to us beginning the service immediately and that this may affect your right to a full refund for that period, in accordance with the Regulations.
Outside of the initial 14-day statutory cancellation right, if you cancel your membership it will remain active until the end of your current Billing Period, and you will not be charged again after that date. We do not offer refunds for the unused portion of a Billing Period in which you cancel, save where required by law.
6. Our right to suspend or terminate
We may suspend or terminate your membership immediately and without refund if: you breach these Terms, our Privacy Policy, or our Website Terms of Use; you provide false or misleading information to us; you misuse the Member Portal or submit fraudulent, defamatory, or abusive Reviews or other content; your payment fails and is not resolved within a reasonable period; or we reasonably believe your continued membership poses a risk to us, other members, Trusted Partners, or third parties.
Where reasonably practicable, we will give you notice and an opportunity to remedy the issue before suspending or terminating your membership, save where we consider immediate action is necessary.
We may also cease to operate the Trade Protection Network, the Member Portal, or Flip The Review generally, at any time, by giving members reasonable notice. In that event, we will not charge any further membership fees from the date the service ends, but no other compensation will be payable to members as a result.
7. What membership includes
Subject to these Terms, membership gives you access to the Trade Protection Network, which currently includes:
- the Trade Protection Library, comprising guides and educational resources for trades and businesses;
- downloadable business templates and documents;
- member-only resources, articles, and platform updates;
- access to introductions through our Trusted Partner Network;
- exclusive member offers and discounts from selected partners, where available and subject to those partners' own terms;
- wellbeing resources and signposting to support organisations;
- access to webinars, training sessions, and other educational content as these are introduced from time to time;
- the ability to submit Reviews about Clients, and to request information about a specific Client from another member's Reviews, subject to clause 9.
We may add, vary, improve, or withdraw any element of Content or any feature of the Member Portal at our reasonable discretion, from time to time, provided that we do not do so in a way that materially reduces the overall value of membership without giving you reasonable notice and, where appropriate, the opportunity to cancel under clause 5.
8. What membership does not include
Membership does not include, and nothing on the platform should be treated as, legal advice, debt recovery services, insurance products, or financial advice. Content made available through the Trade Protection Library and elsewhere on the platform is provided for general information and educational purposes only.
Where you require services of the kind described above, we may introduce you to a Trusted Partner who provides such services under their own separate terms and agreement, entered into directly between you and that Trusted Partner. We are not a party to, and accept no responsibility for the performance of, any agreement you enter into with a Trusted Partner.
9. Reviews of Clients
The Member Portal allows members to submit a Review about a Client they have worked for, for the purpose of helping other members make informed decisions about who they choose to work with. Reviews are not published publicly or shown to all members. Instead:
- a member may request information from us about a specific, named Client before agreeing to take on work for that Client;
- we will check whether any Review exists on record relating to that Client and, if so, disclose it to the requesting member;
- disclosure to the requesting member will consist only of the text of the Review itself; we will not disclose the Client's name, address, or any other personal identifying details held on our systems as part of that disclosure;
- we may decline to disclose a Review, or may edit it before disclosure, where we consider the wording of the Review itself is likely to identify the Client despite the removal of their name and other details, or where disclosure is otherwise inappropriate having regard to the interests of the Client concerned.
By submitting a Review, you confirm and agree that:
- the Review is truthful, accurate, and based on your own genuine first-hand experience of working for the Client;
- you will only include information that is relevant to another member's decision whether to work with that Client, and will not include excessive or irrelevant personal information about the Client, and will avoid wording that identifies the Client more than is necessary (for example, by avoiding unnecessary detail about their address or other identifying circumstances within the text of the Review itself);
- you are solely responsible for the content of your Review and for ensuring it does not breach these Terms or any applicable law, including laws relating to defamation, harassment, or data protection;
- we may, at our reasonable discretion, moderate, edit, decline to disclose, or remove any Review that we reasonably believe is untruthful, inaccurate, excessive, or otherwise breaches these Terms;
- we may ask you to provide reasonable supporting evidence for the content of a Review that is challenged by the Client concerned or by a third party, and may suspend disclosure of the Review while we consider the matter, and may remove it permanently if adequate evidence is not provided within a reasonable timeframe;
- we act only as a record-holder and intermediary in disclosing Reviews between members, and Flip The Review does not independently verify every factual statement contained within a Review, and does not adopt any Review as a statement of our own views.
Where a Review becomes out of date or no longer relevant to a Client (for example, because a significant period of time has passed, or the matter has been satisfactorily resolved), we may, at our discretion or at the request of the Client concerned, restrict or remove it from disclosure.
A Client who becomes aware that a Review has been submitted about them may contact us to query or challenge its content, and we will consider any such query in accordance with this clause and our Privacy Policy.
10. Acceptable use
In using your membership and the Member Portal, you must not: submit or transmit false, misleading, defamatory, abusive, threatening, or unlawful content; impersonate any person or business, or misrepresent your affiliation with any person or business; attempt to gain unauthorised access to the Member Portal, other members' accounts, or our underlying systems; use automated means to extract, scrape, or reproduce Content or Reviews from the platform; or use your membership for any purpose that is fraudulent or that could bring Flip The Review into disrepute.
We may investigate any suspected breach of this clause and take such action as we consider appropriate, including suspending or terminating membership under clause 6, restricting or removing Reviews, and, where necessary, reporting matters to the relevant authorities.
11. Intellectual property
All Content made available through the Member Portal, including the Trade Protection Library, templates, guides, and webinar materials, is owned by us or licensed to us, and is protected by copyright and other intellectual property laws. Membership gives you a personal, non-transferable licence to access and use this Content for your own business purposes. You may not reproduce, redistribute, sublicense, or sell any Content without our prior written consent.
12. Liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
Subject to the above, to the fullest extent permitted by law: we are not liable for any loss or damage arising from your reliance on Content, Reviews, or resources made available through the Member Portal; we are not liable for any loss or damage arising from your dealings with any Trusted Partner, which are a matter between you and that Trusted Partner; we are not liable for any indirect or consequential loss, including loss of profit, revenue, business, contracts, anticipated savings, or goodwill; and our total liability to you arising out of or in connection with your membership, in any twelve-month period, is limited to the total membership fees paid by you to us in that period.
13. Complaints
If you are unhappy with any aspect of your membership, the Member Portal, or a Review-related decision, please contact us at customerservice@flipthereview.com in the first instance, setting out the nature of your complaint. We will aim to acknowledge complaints within 5 working days and to resolve them as quickly as reasonably possible.
14. General
If we do not enforce any right under these Terms at any point, this does not mean we waive that right. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue to apply in full. You may not transfer or assign your membership to another person without our written consent. We may transfer our rights and obligations under these Terms to another organisation, for example as part of a sale or restructuring of our business, and will notify members if we do so.
We may update these Terms from time to time to reflect changes in our services, legal or regulatory requirements, or good practice. Where we make material changes, we will notify members by email in advance of the changes taking effect, and continued use of your membership after that date will constitute acceptance of the updated Terms.
15. Governing law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, save that if you are a consumer resident elsewhere in the United Kingdom, you may also bring proceedings in the courts of your home jurisdiction.
